Terms of Service

1. Agreement to Terms

By accessing or using the services provided by Work Smarter Company (“we,” “us,” or “our”), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services

Work Smarter Company provides consulting services including but not limited to:

• AI strategy and roadmap development
• Leadership and team enablement
• AI execution and automation implementation
• Speaking engagements and workshops
• Related consulting and advisory services

Specific services, deliverables, timelines, and fees will be outlined in separate service agreements or statements of work (“SOW”) that will be executed between you and Work Smarter Company.

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information necessary for us to deliver our services
• Cooperate in good faith and provide timely feedback and approvals
• Ensure you have the necessary authority to enter into agreements and make decisions
• Comply with all applicable laws and regulations
• Maintain the confidentiality of any proprietary information shared with you

4. Payment Terms

Payment terms will be specified in your service agreement or SOW. Generally:

• Fees are due as specified in the applicable agreement
• Late payments may incur interest charges as specified in the agreement
• All fees are non-refundable unless otherwise specified in writing
• You are responsible for any taxes applicable to the services

5. Intellectual Property

Unless otherwise specified in a service agreement:

• All work product, deliverables, and materials created specifically for you will be owned by you upon full payment
• We retain ownership of our methodologies, frameworks, tools, and pre-existing materials
• You grant us a license to use anonymized, aggregated data from our engagement for our business purposes
• Any third-party materials used in our services remain the property of their respective owners

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary and confidential information shared during the course of our engagement. This obligation survives termination of our services. Confidential information does not include information that is publicly available or independently developed without use of confidential information.

7. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability for any claims arising from our services shall not exceed the total fees paid by you for the specific service giving rise to the claim
• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• We provide services “as is” and make no warranties beyond those expressly stated in our service agreements
• You are responsible for implementing recommendations at your own discretion and risk

8. Termination

Either party may terminate a service agreement:

• As specified in the applicable service agreement or SOW
• Immediately upon material breach by the other party that remains uncured after notice
• Upon written notice if no specific termination provisions exist

Upon termination, you remain responsible for payment of all fees for services rendered up to the termination date.

9. Website Use

When using our website:

• You may not use our website for any unlawful purpose
• You may not attempt to gain unauthorized access to our systems
• You may not transmit any viruses, malware, or harmful code
• We reserve the right to modify or discontinue our website at any time

10. Governing Law

These Terms of Service are governed by the laws of British Columbia, Canada. Any disputes arising from these terms or our services shall be resolved in the courts of British Columbia.

11. Changes to Terms

We reserve the right to modify these Terms of Service at any time. Material changes will be posted on this page with an updated “Last updated” date. Your continued use of our services after changes constitutes acceptance of the modified terms.
